Sahiplik yapısının kurumsal yönetim derecelendirme notuna etkisi: BİST’te bir uygulama

Bu çalışmada, şirketlerin sahiplik yapıları (kurumsal sahiplik ve şahıs sahipliği) ile kurumsal yönetim derecelendirme notu arasındaki ilişki incelenmiştir. Bu kapsamda, 2007-2018 yılları arasında BİST’te kurumsal yönetim endeksinde işlem gören 47 şirket içerisinden finansal şirketler çıkarılmış olup finansal olmayan şirketlerden elde edilmiş 247 adet gözlem kullanılarak doğrusal regresyon analizi yapılmış ve şirketlerin sahiplik yapılarının şirketlerin kurumsal yönetim derecelendirme notu ile ilişkisi test edilmiştir. Bulgular, kurumsal sahipliğin ve şahıs sahipliğinin kurumsal yönetim derecelendirme notu ile pozitif ilişkili olduğunu göstermektedir. Başka bir ifade ile şirketlerin sahiplik yapılarındaki şahıs sahiplik oranları ve kurumsal sahiplik oranları arttıkça kurumsal yönetim derecelendirme notları da artacaktır. Elde edilen bu sonuç ile şirketlerin sahiplik yapılarının kurumsal yönetim derecelendirme notu üzerinde etkili olduğu görülmektedir.

In this study, the relationship between the ownership structures of companies (corporate ownership and sole proprietorship) and corporate governance rating is examined. In this context, financial companies were excluded from 47 companies traded in the corporate governance index in BIST between 2007 and 2018, a linear regression analysis was made using 247 observations obtained from non-financial companies, and the relationship between the ownership structures of the companies and the corporate governance rating of the companies was tested. The findings show that corporate ownership and sole proprietorship are positively related to corporate governance rating. In other words, as the individual ownership rates and corporate ownership rates in the ownership structures of the companies increase, the corporate governance ratings will also increase. This result shows that the ownership structures of the companies have an effect on the corporate governance rating.
